What Galderma’s .5 Billion All-Cash Deal Shows About Clinic-Based Skincare Brands

Galderma agreed on 14 October 2026 to buy ZO Skin Health, the skincare brand founded by dermatologist Zein Obagi, in an all-cash deal valued at $1.5 billion. The sellers include shareholders such as funds managed by Blackstone and the Obagi family, according to Galderma’s announcement the same day.

ZO sells through physician practices, medical spas and online accounts. The deal brings a dermatologist-founded brand into Galderma, a Swiss dermatology company listed on the SIX Swiss Exchange.

What the Deal Shows About Clinic-Based Skincare Brands

ZO is based in Irvine, California. It has more than 40 products and more than 16,500 accounts across physician practices, medical spas and online channels, according to Galderma’s announcement. Its net sales were about $330 million in the 12 months to June 2026. Galderma said the purchase strengthens its physician-dispensed skincare offering.

Galderma’s chief executive, Flemming Ornskov, told Bloomberg that the United States will probably become the majority of the company’s sales at some point. He also said the deal brings Galderma closer ties to medical spas and aesthetics offices.

Jefferies analyst Benjamin Jackson said the deal meaningfully expands Galderma’s exposure to the physician-dispensed channel. Vontobel analyst Stefan Schneider described the two portfolios as complementary. Both views were reported by Bloomberg.

Deal Terms
Galderma will acquire ZO Skin Health for an enterprise value of $1.5 billion in an all-cash transaction, with closing expected in the fourth quarter of 2026 or early 2027, subject to regulatory approvals and other customary conditions.

How the $1.5 Billion Price Compares With Earlier Beauty Exits

Dividing the $1.5 billion enterprise value by about $330 million in trailing net sales gives roughly 4.5 times sales. That multiple is a calculation from two sourced figures, not a number Galderma stated. The sales figure runs to June 2026, while the price is subject to customary adjustments.

One earlier beauty deal in the sources is L’Occitane’s 2021 purchase of an 83% stake in Sol de Janeiro at a $450 million valuation, announced 17 November 2021, according to BeautyMatter. Founder Heela Yang stayed as chief executive and rolled over a significant part of her equity. That report gives about $60 million in net sales for 2020, according to WWD, a different year from ZO’s figure.

Blackstone bought a majority stake in ZO through its tactical opportunities fund in 2020, on undisclosed terms. OCBJ reports that Blackstone said ZO more than doubled its revenue under its ownership. No 2020 price has been disclosed.

Closing Conditions and Exit Timing in This Deal

Galderma expects to close in the fourth quarter of 2026 or early 2027, subject to regulatory approvals and other customary conditions. It will fund the purchase from cash on hand and bank financing.

Galderma expects the deal to be neutral to Core earnings per share in the first full year after closing. It expects a slight dilution to its Core EBITDA margin in 2027, becoming broadly comparable with the group average from 2028.

From the 14 October announcement, the signing-to-closing window runs from about two and a half months to about five months, subject to regulatory approvals and other customary conditions.

Galderma’s announcement said it was proud to have partnered with Dr. Obagi and the ZO Skin Health team during an important period of growth.

At about $330 million in trailing sales, the $1.5 billion price works out to roughly 4.5 times sales.

What Happens Next

The next public step is closing, which is subject to regulatory approvals and other customary conditions. As of 19 October 2026, closing is still pending.

Galderma’s announcement frames the purchase as a step in building its dermatology portfolio. Ornskov’s comments point to the United States as a likely source of most of the company’s sales.

Galderma’s announcement gives the expected closing window as the fourth quarter of 2026 or early 2027.
